Terms of Service

Hivedec Inc.("Company", "We", "Us", "Our"). By accessing or using the Hivedec platform and ecosystem (the "Platform"), you agree to these Terms of Service ("Terms") and our Acceptable Use Policy("AUP"). If you do not agree, do not use the Platform.

1. Acceptance of Terms

  1. These Terms are a legally binding agreement between you and Hivedec Inc., a company registered in the Republic of South Africa.
  2. We may modify these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms. Material changes may also be announced by email or in-product notice.
  3. Additional product-specific terms (for example Stripe Connect payout terms, event ticket terms, or advertising insertion orders) apply where disclosed at the point of purchase or enrollment.

2. Eligibility

  1. You must be at least 18 years old to use the Platform. If you are under 18, you may use the Platform only with the consent of a parent or legal guardian, and only where permitted by law.
  2. You represent that you have legal capacity to enter this agreement and are not barred from using the Platform under applicable laws, including sanctions and export controls.

3. Account Registration

  1. You agree to provide accurate information, keep credentials secure, accept responsibility for activity under your account, and notify us promptly of unauthorized use.
  2. You may not create multiple accounts to circumvent restrictions, self-deal, evade enforcement, or commit fraud.
  3. We may suspend or terminate accounts that violate these Terms or pose security, legal, or abuse risks.

4. Platform Description

The Platform is a digital content creation and distribution ecosystem that may include interoperable modules such as Hfran, Hive / Hive Comb, Hive Piping, Studio, Arcade, HiveTime, Admin, Hive Ads, Hive Economy, CRM moderation tools, and this Support Hub. Features available to you depend on your role (Creator, Supporter/Fan, Advertiser, Administrator, or Partner/Rights Holder) and region.

5. User-Generated Content

  1. You retain ownership of content you upload ("User Content") but grant Hivedec a worldwide, non-exclusive, royalty-free license to host, store, reproduce, distribute, display, and technologically process such content as needed to operate and improve the Platform (including moderation, encoding, CDN delivery, and backups).
  2. You warrant that you own or have rights to User Content, that it does not infringe third-party rights, and that it complies with these Terms and the AUP. You are solely responsible for Your User Content.
  3. We do not pre-screen all content but may remove, restrict, or refuse to distribute content at our discretion, including under the reporting and DMCA workflows described in the AUP.

6. Acceptable Use

You must comply with the Acceptable Use Policy, incorporated by reference. Violations may result in content removal, account suspension, monetization restrictions, or permanent termination.

7. Reporting, Moderation & Appeals

  1. Users may report content in-product. Rights holders may submit formal DMCA notices via the DMCA Portal.
  2. High-severity reports may temporarily hide content pending review. Target SLAs are 24 hours (high severity) and 72 hours (standard). DMCA notices are typically processed within 3–5 business days.
  3. Moderators may restore content, remove it with notice, or escalate for legal review. Outcomes and actions are recorded in an immutable compliance audit log.
  4. Uploaders may appeal removals within 14 days with written justification via the Admin portal. Appeals are reviewed by senior moderation or legal counsel with a target determination within 7 business days.

8. Payments and Billing

  1. Payments are processed by Stripe. By paying, you also agree to Stripe's applicable terms and privacy policy.
  2. Subscriptions, event tickets, and digital goods (including coins, badges, and tokens) are generally non-refundable except as expressly stated or required by law. Event tickets may be refundable if the event is canceled by Hivedec or the creator.
  3. Coins are a closed-loop virtual currency for in-platform use only: they cannot be withdrawn, refunded to fiat, or used to purchase cryptocurrencies or external financial instruments, except through authorized Platform mechanisms.
  4. Creators must not self-deal (purchase their own content or subscribe to their own channels). We may enforce this programmatically and via review.
  5. You are responsible for taxes applicable to your activity and jurisdiction.

9. Creator Monetization

  1. Creators may earn via memberships, tips/gifts, ticketing, marketplace sales, merchandise, and advertising revenue share where enabled.
  2. Payouts via Stripe Connect are subject to minimum thresholds, KYC, disclosed revenue share, anti-fraud review, and banking verification.
  3. We may hold, delay, or reverse payouts for policy violations, chargebacks, legal process, or suspicious activity.

10. Intellectual Property

  1. Hivedec owns the Platform software, design, logos, and proprietary technology. Nothing grants you rights beyond a limited license to use the Platform as permitted.
  2. We maintain a DMCA-compliant process. Repeat infringers may be terminated. Legitimate fair-use commentary and transformative works are considered under our claim-review workflow and applicable law.

11. Privacy and Data Protection

Our Privacy Policy describes how we collect, use, and protect personal information. By using the Platform you consent to those practices. We implement industry-standard security measures; no system is perfectly secure.

12. Community Guidelines & Moderation Rights

  1. Harassment, hate speech, doxxing, impersonation, and metric manipulation are prohibited as further detailed in the AUP.
  2. We may moderate content using automated systems (including third-party vision/video analysis) and human reviewers, with or without prior notice.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE AND DO NOT ENDORSE USER-GENERATED CONTENT.

14. Limitation of Liability

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVIDEC INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, USE, OR GOODWILL.
  2. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID HIVIDEC IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
  3. Some jurisdictions do not allow certain limitations; those limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Hivedec Inc. and its affiliates from claims arising out of your use of the Platform, your User Content, or your violation of these Terms, third-party rights, or law.

16. Termination

  1. You may terminate by contacting support@hivedec.com.
  2. We may suspend or terminate immediately for violations or harm to users, us, or third parties.
  3. Provisions on IP, liability, indemnification, and dispute resolution survive termination. Terminated accounts may be banned from re-registration.

17. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
  2. Disputes are subject to the exclusive jurisdiction of the courts in Cape Town, South Africa, except where mandatory consumer protections require otherwise.
  3. Please contact support@hivedec.com to attempt informal resolution before formal proceedings.

18. Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

19. Export Control & Force Majeure

  1. You agree to comply with applicable export and sanctions laws and represent that you are not prohibited from accessing the Platform.
  2. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, governmental actions, internet outages, or third-party service failures.

20. Severability & Entire Agreement

If any provision is unenforceable, the remainder remains in effect. These Terms, the AUP, and the Privacy Policy constitute the entire agreement regarding the Platform and supersede prior communications.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS AND THE ACCEPTABLE USE POLICY.
